Welcome to ResiCareHealth ("ResiCareHealth," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the ResiCareHealth website, software applications, mobile applications, portals, and related services (collectively, the "Services"). By accessing or using ResiCareHealth, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

Eligibility

You represent and warrant that:

  • You are at least 18 years old
  • You have authority to enter into these Terms
  • You are authorized to act on behalf of your organization if registering for business use
  • Your use complies with applicable laws and regulations

If using ResiCareHealth on behalf of a company, assisted living facility, residential care home, or healthcare organization, you agree these Terms bind that organization.

Description of Services

ResiCareHealth provides software and technology tools designed to assist residential assisted living operators and related healthcare organizations with administrative, operational, communication, and resident management activities.

Services may include:

  • Resident record management
  • Medication tracking
  • Care documentation
  • Scheduling
  • Staff management
  • Family communication
  • Reporting tools
  • Notifications
  • Payment functionality
  • Additional features added over time

ResiCareHealth is a technology platform and does not provide medical advice, nursing care, diagnosis, treatment, or healthcare services.

No Medical Advice

Important Notice: This clause contains critical limitations, warranties, or legal disclaimers governing the use of ResiCareHealth OS.

ResiCareHealth does not practice medicine.

Information generated or stored through the Services:

  • is informational only
  • does not replace professional judgment
  • should not be relied upon as medical advice
  • does not create a provider-patient relationship

Users remain solely responsible for care decisions.

In emergencies, contact emergency services or qualified healthcare professionals.

Account Registration

To access certain Services, users may create accounts.

You agree to:

  • provide accurate information
  • maintain current information
  • maintain confidentiality of login credentials
  • restrict unauthorized access
  • promptly notify us of suspected security incidents

You remain responsible for activity under your account.

Customer Responsibilities

Customers are responsible for:

  • obtaining required resident permissions
  • complying with applicable healthcare regulations
  • maintaining internal compliance procedures
  • ensuring appropriate staff access controls
  • maintaining security practices
  • ensuring information entered into the system is accurate

Users may not rely solely on ResiCareHealth for regulatory compliance.

HIPAA and Healthcare Compliance

Customers are responsible for determining whether applicable healthcare laws require a Business Associate Agreement ("BAA").

Where applicable and mutually agreed, ResiCareHealth may enter into separate Business Associate Agreements.

Nothing in these Terms constitutes a representation that ResiCareHealth independently guarantees compliance with:

  • HIPAA
  • HITECH
  • state privacy laws
  • licensing laws
  • healthcare regulations

Customers remain responsible for their regulatory obligations.

Subscription Plans and Payments

Some Services require payment.

You agree to:

  • pay all fees when due
  • provide accurate billing information
  • authorize recurring charges where applicable

Unless otherwise specified:

  • subscription fees are non-refundable
  • fees may change upon notice
  • taxes remain customer responsibility

Failure to pay may result in suspension or termination.

Acceptable Use

You agree not to:

  • violate laws
  • upload malicious code
  • attempt unauthorized access
  • interfere with system operation
  • reverse engineer software
  • scrape data
  • distribute spam
  • impersonate another person
  • misuse resident information
  • upload content without authorization

Customer Data Ownership

Customers retain ownership of information submitted into ResiCareHealth.

You grant ResiCareHealth a limited license to:

  • host
  • process
  • transmit
  • back up
  • display

customer information solely for delivering Services.

De-Identified and Aggregated Information

ResiCareHealth may create and use aggregated or de-identified information for:

  • analytics
  • system improvement
  • research
  • benchmarking
  • product development

Such information will not identify specific individuals.

Intellectual Property

ResiCareHealth and related materials—including:

  • software
  • trademarks
  • graphics
  • logos
  • text
  • interfaces
  • designs

remain exclusive property of ResiCareHealth.

No ownership rights transfer to users.

Third-Party Services

Services may integrate with third-party providers including:

  • payment processors
  • messaging systems
  • cloud infrastructure
  • video platforms
  • healthcare tools

We are not responsible for third-party services.

Their use may be subject to separate agreements.

Availability

We strive for reliable availability but do not guarantee uninterrupted access.

Services may occasionally experience:

  • maintenance
  • outages
  • delays
  • interruptions
  • updates

We reserve the right to modify or discontinue features.

Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESICAREHEALTH DISCLAIMS ALL WARRANTIES INCLUDING:

  • merchantability
  • fitness for a particular purpose
  • non-infringement
  • uninterrupted service
  • accuracy
  • reliability

We do not warrant that Services will be error-free.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

RESICAREHEALTH SHALL NOT BE LIABLE FOR:

  • indirect damages
  • lost profits
  • business interruption
  • loss of data
  • consequential damages
  • punitive damages

TOTAL LIABILITY SHALL NOT EXCEED FEES PAID DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless ResiCareHealth and its officers, employees, and affiliates from claims arising from:

  • your use of Services
  • your content
  • regulatory violations
  • misuse of resident information
  • breach of these Terms

Termination

We may suspend or terminate accounts:

  • for Terms violations
  • for suspected misuse
  • for legal compliance
  • for non-payment
  • for security concerns

You may stop using Services at any time.

Termination does not relieve unpaid obligations.

Governing Law

These Terms shall be governed by the laws of the State of Texas without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Texas.

Changes to Terms

We may modify these Terms periodically.

Updated Terms become effective upon posting.

Continued use constitutes acceptance.
